Provision of Materials "AS IS" and "AS AVAILABLE"
All materials, data, content, resources, services, features, functionality, and user-generated content provided on, through, or in connection with CEO.wiki (collectively, the "Materials") are offered strictly on an "AS IS," "AS AVAILABLE," "WITH ALL FAULTS," and "WHERE-IS" basis, WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, whether express, implied, statutory, or otherwise.
Disclaimer of All Warranties
CEO.wiki, including its operators, administrators, moderators, editors, contributors, volunteers, partners, affiliates, sponsors, service providers, hosting providers, software developers, and any other associated parties (collectively, "CEO.wiki Parties"), hereby EXPRESSLY, UNEQUIVOCALLY, AND UNCONDITIONALLY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS of every kind, including but not limited to:

- Implied warranty of availability - that the Platform will be continuously accessible
- Implied warranty of non-infringement - that Materials do not violate third-party rights
- Implied warranty of title - that CEO.wiki has valid rights to provide Materials
- Implied warranty of quiet enjoyment - that use will be uninterrupted or undisturbed
- Any other implied warranties arising from course of dealing, course of performance, or usage of trade
C. Statutory Warranties
Any warranties, representations, or conditions imposed or implied by statute, legislation, regulation, or operation of law, to the maximum extent such disclaimers are permitted by applicable law.
Exclusion of Liability
To the MAXIMUM, FULLEST, AND GREATEST EXTENT PERMITTED BY APPLICABLE LAW, the CEO.wiki Parties shall NOT BE LIABLE, RESPONSIBLE, OR ACCOUNTABLE for any damages, losses, liabilities, claims, demands, costs, or expenses of any kind or nature whatsoever, including but not limited to:

- Direct financial losses or monetary damages
- Out-of-pocket expenses or costs incurred
- Property damage or destruction
- Physical injury or bodily harm
- Economic losses directly caused by use of the Platform
2. Indirect and Consequential Damages:
- Consequential damages or losses
- Incidental damages or expenses
- Special damages or unique losses
- Remote or unforeseeable damages
- Secondary or tertiary effects
- Damages arising from third-party actions
3. Economic Damages:
- Loss of profits, revenue, or income
- Loss of business opportunities or prospects
- Loss of contracts or business relationships
- Loss of anticipated savings or benefits
- Loss of market share or competitive position
- Diminution in value of assets or investments
- Economic harm or financial disadvantage
4. Intangible Damages:
- Loss of data, information, or files
- Loss of goodwill or reputation
- Loss of business advantage or position
- Damage to professional standing
- Harm to personal or corporate image
- Loss of privacy or confidentiality
- Emotional distress or mental anguish
5. Operational Damages:
- Business interruption or work stoppage
- Loss of use of equipment, systems, or facilities
- Costs of procuring substitute services or products
- Downtime or operational delays
- Inability to perform contractual obligations
6. Exemplary and Punitive Damages:
- Punitive or exemplary damages
- Statutory damages or penalties
- Treble damages or damage multipliers
- Liquidated damages
- Aggravated or enhanced damages
7. Other Forms of Harm:
- Wasted time or effort
- Opportunity costs
- Reliance damages
- Expectation damages
- Any other form of damage, loss, liability, claim, cost, or expense, whether characterized as general, specific, nominal, or otherwise
B. Causes and Sources of Liability
The exclusion of liability applies to damages, losses, or harm ARISING FROM, RELATED TO, RESULTING FROM, OR IN CONNECTION WITH:
1. Platform Use and Access:
- Use of, inability to use, or reliance upon the Platform
- Access to or inability to access Materials or features
- Performance or non-performance of the Platform
- Delays, interruptions, or service outages
- Technical malfunctions, bugs, or errors
- System failures or crashes
2. Content Issues:
- Errors, omissions, inaccuracies, or misrepresentations in Content
- Outdated, incomplete, or misleading information
- Defamatory, libelous, or slanderous statements
- Violations of privacy, publicity, or other personal rights
- Intellectual property infringement
- Offensive, harmful, or objectionable Content
3. Security and Privacy:
- Unauthorized access to, use of, or disclosure of data or information
- Interception, monitoring, or surveillance of communications
- Data breaches, security incidents, or cyberattacks
- Loss, corruption, or destruction of data
- Identity theft or impersonation
- Privacy violations or confidentiality breaches
4. Third-Party Conduct:
- Content posted, uploaded, modified, or removed by third-party users
- Actions, omissions, or conduct of other users or contributors
- Reliance on user-generated content or community contributions
- Disputes, conflicts, or disagreements between users
- Harassment, abuse, or misconduct by users
5. Technical Issues:
- Viruses, malware, spyware, ransomware, or other harmful code
- Trojan horses, worms, logic bombs, or corrupted files
- Denial-of-service attacks or distributed attacks
- Hacking, cracking, or unauthorized intrusion
- Compatibility issues with devices, browsers, or systems
- Software bugs, defects, or vulnerabilities
6. Service Changes:
- Suspension, interruption, discontinuation, or termination of services
- Modification, alteration, or removal of features or functionality
- Changes to policies, terms, or conditions
- Restriction or limitation of access
- Migration to new platforms or systems
7. External Factors:
- Failure or unavailability of third-party services or links
- Actions or omissions of hosting providers, ISPs, or network operators
- Force majeure events (natural disasters, wars, pandemics, government actions, etc.)
- Compliance with legal requirements, court orders, or government directives
- Any other external circumstances beyond CEO.wiki's control
C. Legal Theories and Bases
This exclusion of liability applies REGARDLESS OF THE LEGAL OR EQUITABLE THEORY, CAUSE OF ACTION, OR BASIS upon which any claim, demand, or action is brought, including but not limited to:
- Contract: Breach of contract, breach of warranty, breach of implied terms, failure of consideration, or any other contract-based claim
- Tort: Negligence, gross negligence, recklessness, intentional torts, strict liability, product liability, premises liability, or any other tort-based claim
- Misrepresentation: Fraudulent misrepresentation, negligent misrepresentation, innocent misrepresentation, or non-disclosure
- Statutory Claims: Consumer protection violations, unfair trade practices, data protection violations, or any other statutory cause of action
- Equity: Unjust enrichment, quantum meruit, promissory estoppel, or any other equitable claim
- Property: Conversion, trespass to chattels, or interference with property rights
- Intellectual Property: Copyright infringement, trademark infringement, patent infringement, or trade secret misappropriation
- Privacy and Publicity: Invasion of privacy, violation of publicity rights, or unauthorized use of likeness
- Defamation: Libel, slander, or injurious falsehood
- Constitutional: Violations of constitutional rights or civil liberties
- Any other legal, equitable, statutory, regulatory, or common law theory, whether now existing or hereafter arising
D. Knowledge and Foreseeability
The exclusion of liability applies EVEN IF:
- CEO.wiki Parties have been advised, notified, or informed of the possibility of such damages, losses, or liabilities
- CEO.wiki Parties knew or should have known of the risk or likelihood of such damages
- Such damages were foreseeable, predictable, or anticipated
- CEO.wiki Parties were specifically warned about potential consequences
- The damages were a natural, probable, or expected result of the circumstances
Maximum Liability Cap
In jurisdictions where liability cannot be completely excluded, the AGGREGATE, TOTAL, AND CUMULATIVE LIABILITY of CEO.wiki Parties for all claims, damages, losses, and causes of action, whether in contract, tort, or otherwise, shall NOT EXCEED the greater of:
- (a) The amount paid by the user to CEO.wiki in the twelve (12) months preceding the event giving rise to liability; or
- (b) One hundred United States dollars (US $100.00)
Since CEO.wiki is provided free of charge, the maximum liability will typically be US $100.00 or the minimum amount permitted by applicable law.
Voluntary Participation and Assumption of Risk
By accessing, browsing, interacting with, contributing to, or otherwise using CEO.wiki, users:
- VOLUNTARILY CHOOSE to use the Platform
- EXPRESSLY ASSUME all risks associated with such use
- KNOWINGLY ACCEPT the possibility of damages, losses, or harm
- FULLY UNDERSTAND that CEO.wiki provides no warranties or guarantees
- ACKNOWLEDGE that CEO.wiki Parties disclaim all liability to the maximum extent permitted by law
- AGREE that they use the Platform entirely at their own risk and peril
User Sole Responsibility
Users are SOLELY AND EXCLUSIVELY RESPONSIBLE for:
- Evaluating the accuracy, reliability, and suitability of all Materials
- Making informed decisions based on comprehensive research and analysis
- Obtaining professional advice when appropriate
- Implementing appropriate security measures to protect their systems and data
- Backing up data and information
- Complying with all applicable laws and regulations
- Accepting all consequences of their use of the Platform
- Indemnifying and holding harmless CEO.wiki Parties from any claims arising from their use
Jurisdictional Variations
SOME JURISDICTIONS DO NOT ALLOW:
- Exclusion or limitation of certain warranties
- Exclusion or limitation of liability for incidental or consequential damages
- Exclusion of liability for gross negligence, willful misconduct, or fraud
- Waiver of consumer protection rights
In such jurisdictions:
- The above exclusions and limitations shall apply TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW
- Where exclusions are not permitted, liability shall be limited to the minimum extent required by law
- Invalid provisions shall be modified to the minimum extent necessary to make them valid and enforceable
- The remaining provisions shall remain in full force and effect
Users in such jurisdictions may have additional rights that cannot be waived or limited.
No Waiver of Rights
Nothing in this Legal Disclaimer shall be construed to:
- Waive defenses or immunities available to CEO.wiki Parties under applicable law
- Expand liability beyond that provided by law
- Create rights or remedies not otherwise available
- Alter the fundamental nature of the Platform as a free, volunteer-operated service
Indemnification by Users
Users agree to INDEMNIFY, DEFEND, AND HOLD HARMLESS CEO.wiki Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising from or related to:
- User's violation of this Legal Disclaimer or any other policy
- User's violation of any law, regulation, or third-party right
- User's contributions, submissions, or content
- User's use or misuse of the Platform
- User's negligence, willful misconduct, or illegal conduct
Modifications
CEO.wiki reserves the right to modify, amend, or update this Legal Disclaimer at any time, with or without notice. Continued use after modifications constitutes acceptance of the updated Disclaimer.
Governing Law and Dispute Resolution
This Legal Disclaimer shall be governed by and construed in accordance with principles of international law and, where applicable, the laws of the jurisdiction most favorable to CEO.wiki. Disputes shall be resolved through binding arbitration or in courts of competent jurisdiction as determined by CEO.wiki.
Severability and Savings Clause
If any provision of this Legal Disclaimer is found invalid, illegal, or unenforceable:
- Such provision shall be modified to the minimum extent necessary to make it valid and enforceable
- If modification is not possible, the provision shall be severed
- All other provisions shall remain in full force and effect
- The intent and purpose of this Disclaimer shall be preserved to the maximum extent possible
